Terms of Service

1. Service description

SwipeMerchants provides payment technology consulting and integration services. We are NOT a payment processor, bank, or financial institution. We assist merchants in connecting to third-party payment processors including Stripe, PayPal, and Whop.

2. Processor relationships

We do not control Stripe, PayPal, Whop, or other processors. Accounts may be suspended, terminated, or limited at the processor's sole discretion. We make no guarantees regarding account approval, processing limits, or account longevity.

3. Eligibility

You must:

  • Be at least 18 years old
  • Have a valid business entity (LLC, Corporation, or Sole Proprietorship)
  • Operate a legal business in your jurisdiction
  • Comply with all applicable laws and regulations
  • Have authority to bind your business to these terms

4. Prohibited products & services

You may not use our services for:

  • Illegal substances or controlled drugs
  • Counterfeit goods or trademark infringement
  • Weapons or explosives
  • Products making unsubstantiated medical claims
  • Human trafficking or exploitation
  • Gambling without proper licensing

5. Research chemical requirements

For peptide and research chemical merchants:

  • All products must be labeled "For Research Purposes Only"
  • Website must display "Not for Human Consumption" disclaimers
  • Products must have Certificates of Analysis (COAs)
  • No medical claims (cures, treats, prevents disease)
  • Customer must verify age 18+ at checkout

6. Fees & payment

Our fees range from 3–8% of transaction volume based on risk profile and volume. Fees are deducted automatically from settlements. Additional fees:

  • Chargeback fee: $25 per dispute
  • Wire transfer fee: $25
  • USDT conversion fee: 1%

7. Rolling reserve

We hold 10% of gross processing volume for 90 days as security against chargebacks, refunds, and disputes. Reserve funds are released on a rolling basis after 90 days.

8. Chargeback liability

You are solely liable for all chargebacks, refunds, and disputes. We may:

  • Withhold funds to cover chargeback exposure
  • Debit your bank account for negative balances
  • Terminate services for chargeback rate exceeding 1%

9. Termination

We may terminate services immediately for:

  • Violation of these terms
  • Chargeback rate exceeding 1%
  • Fraudulent activity
  • Violation of processor terms of service
  • Legal compliance issues

Upon termination, any outstanding reserves will be held for 180 days to cover chargeback liability.

10. Limitation of liability

Our liability is limited to fees paid in the preceding 30 days. We are not liable for:

  • Processor shutdowns or account terminations
  • Fund freezes by payment processors
  • Loss of business or profits
  • Data breaches by third-party processors

11. Indemnification

You agree to indemnify and hold harmless SwipeMerchants from any claims arising from your use of our services, including chargebacks, disputes, and regulatory violations.

12. Governing law

These terms are governed by Wyoming law. Disputes will be resolved in Wyoming courts.

13. Changes to terms

We may update these terms at any time. Continued use constitutes acceptance of updated terms.
